Terms of Service

Agreement to Terms

By accessing or using the Palisade Strategic website (“Site”) or engaging our consulting services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site or Services.

Services

Palisade Strategic provides AI readiness consulting services including, but not limited to:

• AI Readiness Audits (complimentary and paid)
• Deep AI Readiness Audits
• AI Strategy and Implementation Roadmaps
• Advisory Retainer engagements

Specific scope, deliverables, timelines, and fees for paid engagements are defined in separate Statements of Work (“SOW”) or engagement letters executed between Palisade Strategic and the client.

Engagement Terms

For paid consulting engagements:

• Each engagement is governed by a signed SOW or engagement letter
• Payment terms, milestones, and deliverables are specified in the SOW
• Either party may terminate an engagement with 30 days written notice, unless otherwise specified in the SOW
• Fees for work completed prior to termination remain due and payable

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of any engagement. Confidential information includes, but is not limited to:

• Business strategies, financial data, and trade secrets
• Technical infrastructure details, security posture findings, and audit results
• Employee information, customer data, and vendor relationships
• Engagement deliverables, reports, and recommendations

Confidentiality obligations survive the termination of any engagement for a period of two (2) years. Separate Non-Disclosure Agreements (“NDAs”) may be executed upon request.

Intellectual Property

Unless otherwise specified in a SOW:

• Deliverables created specifically for a client engagement are owned by the client upon full payment
• Palisade Strategic retains ownership of pre-existing tools, methodologies, frameworks, and templates used in the delivery of Services
• Palisade Strategic may use anonymized, aggregated insights from engagements for internal research, benchmarking, and thought leadership

Limitation of Liability

Palisade Strategic provides consulting services on an advisory basis. Our recommendations are based on professional judgment and available information at the time of delivery.

To the maximum extent permitted by law:

• Palisade Strategic's total liability for any engagement shall not exceed the fees paid for that specific engagement
• Palisade Strategic shall not be liable for indirect, incidental, consequential, or punitive damages
• Palisade Strategic does not guarantee specific business outcomes, regulatory compliance, or security against all threats

Clients are responsible for implementing recommendations and making final decisions regarding their AI strategy, security posture, and regulatory compliance.

Website Use

When using this Site, you agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Site
• Submit false or misleading information through any forms
• Reproduce, distribute, or create derivative works from Site content without permission

Indemnification

You agree to indemnify and hold harmless Palisade Strategic, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Site or breach of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Iowa.

Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site or Services after changes constitutes acceptance of the revised Terms.
